Welcome to LocalVet. These Terms of Service ("Terms") govern your access to and use of the www.localvet.net website and related services (collectively, the "Service") operated by LocalVet ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Accounts

2.1 Registration

Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, third parties, or the Service.

3. Business Listings

3.1 Listing Data

Business listings on the Service may be sourced from public data, user submissions, or third-party providers. We strive to maintain accuracy but do not guarantee the completeness or correctness of any listing information.

3.2 Claiming a Listing

Business owners may claim their listing to manage information, respond to reviews, and access additional features. Claiming requires verification of ownership. We reserve the right to deny or revoke a claim if we cannot verify ownership.

3.3 Listing Content

When managing a claimed listing, you agree that all information provided is accurate, non-misleading, and does not infringe on any third-party rights. You may not use listing pages for unrelated advertising, promotions, or deceptive practices.

4. Reviews and User Content

4.1 Submitting Reviews

Users may submit reviews and ratings for business listings. By submitting a review, you represent that:

• Your review is based on a genuine experience with the business
• Your review is accurate and not misleading
• You have no conflict of interest (e.g., you are not the business owner, a competitor, or compensated for the review)
• Your review does not contain unlawful, defamatory, or inappropriate content

4.2 Content License

By submitting content (reviews, photos, or other materials) to the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, distribute, and display that content in connection with operating and promoting the Service.

4.3 Content Moderation

We reserve the right, but have no obligation, to review, moderate, edit, or remove any user-submitted content at our sole discretion. Reviews that violate our guidelines may be removed without notice.

5. Paid Services and Subscriptions

5.1 Plans and Pricing

We offer various subscription plans with different features and pricing. Current pricing is available on our Pricing page. We reserve the right to change pricing with reasonable notice.

5.2 Payments

Payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are non-refundable unless otherwise stated.

5.3 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods.

5.4 Free Trial

If a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends.

6. Prohibited Conduct

You agree not to engage in any of the following activities:

• Violating any applicable laws or regulations
• Submitting false, misleading, or fraudulent information
• Impersonating any person or entity
• Submitting fake reviews or manipulating ratings
• Scraping, crawling, or otherwise extracting data from the Service without written permission
• Interfering with or disrupting the Service or its infrastructure
• Attempting to gain unauthorized access to any part of the Service
• Uploading malicious code, viruses, or harmful material
• Harassing, threatening, or intimidating other users or businesses
• Using automated systems (bots, scripts) to interact with the Service without authorization

7. Intellectual Property

7.1 Our Content

The Service, including its design, text, graphics, logos, icons, images, software, and other content, is owned by or licensed to LocalVet and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our content without prior written permission.

7.2 Trademarks

LocalVet, the LocalVet logo, and other marks on the Service are trademarks of LocalVet. You may not use these marks without our prior written consent.

8. Disclaimers

8.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 No Endorsement

Listings on the Service do not constitute an endorsement, recommendation, or guarantee by LocalVet. We do not verify the qualifications, credentials, or quality of service of listed businesses. Users should independently verify information and exercise their own judgment.

8.3 Third-Party Content

We are not responsible for the accuracy, reliability, or quality of information provided by third parties, including business owners and reviewers. User-submitted content represents the opinions of individual users, not LocalVet.

9. Limitation of Liability

To the maximum extent permitted by law, LocalVet and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

• Your use or inability to use the Service
• Any content obtained from the Service
• Unauthorized access to your data or account
• Conduct or content of any third party on the Service

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless LocalVet and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless prohibited by applicable law.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Material changes will be communicated through email or a notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LocalVet regarding the Service and supersede all prior agreements and understandings.
